Vysto Terms of Service

Document: Terms of Service Version: 1.0 Effective date: 23 October 2026 Status: Published Related documents: Privacy Policy , Refund and Cancellation Policy , Cookie & Tracking Notice

These Terms of Service (the “Terms”) are a contract between Vysto LLC (“Vysto,” “we,” “us”) and the business or person who creates an account or otherwise uses the Vysto platform (the “Customer” or “Tenant”). By creating an account, starting a trial, clicking to accept these Terms, or using the platform after the effective date of a published version, the Customer agrees to these Terms. Acceptance is clickwrap: an affirmative checkbox records the acceptor’s identity, the timestamp, and the version accepted. Browsing a marketing page is not acceptance.

If you are accepting for a company, you represent that you have authority to bind that company. The company is the Customer.

Vysto is a conversational website platform. A Customer uses it to publish a site that visitors can use as a conversation, by voice or by text, and as a conventional page-based site (“Classic View”), including static pages intended for search and retrieval. Customers manage content, which the platform stores as Nuggets and page layouts, through the Vysto product and through connected assistants (including Claude, ChatGPT, and Cursor) over Vysto MCP. A scraping module can import an existing website so the Customer does not have to rebuild it by hand.

The platform is offered in plans, currently including a free trial, Vysto MCP, Vysto Conversational, and, under a separate order, Vysto Advanced and Vysto Enterprise. Plan features and prices are described on the pricing page and in the order or checkout the Customer completes. If a written order signed by Vysto conflicts with these Terms, the order controls for that Customer on the conflicting point only.

Authorized User. A person the Customer allows to administer the workspace, including through an admin login or an MCP connection.

Visitor. A person who uses a site the Customer publishes on the platform. A Visitor is not a Customer and does not become a party to these Terms merely by using that site.

Customer Content. Content the Customer or its Authorized Users submit, create, import, or publish in a workspace. This includes Nuggets, page copy, branding, media, form configuration, imported website material, prompts, and conversation configuration. It also includes the text of conversations that occur on the Customer’s site, as between Vysto and the Customer.

Nugget. A unit of Customer Content the platform stores and uses to answer and to render pages.

Scraping Module. The feature that fetches and imports material from a website or other source the Customer designates.

AI Output. Text, speech, layouts, suggestions, or other material the platform generates with a model in response to a Customer, Authorized User, or Visitor.

Platform IP. The platform software, models orchestration, workflows, templates supplied by Vysto, documentation, trademarks, and patents and patent applications owned by Vysto or licensed to Vysto, including rights Vysto holds under license from its founders. The hosted service a Customer receives is a right to use that Platform IP as embodied in the service. It is not an assignment or a license to practice the underlying patents apart from the hosted service.

Order. The checkout, plan selection, or signed ordering document that states the plan, fees, and term.

3. Private beta status and service levels

The generally available platform, including the free trial, Vysto MCP, and Vysto Conversational, is in private beta.

We do not promise a service level, uptime percentage, response time, or support response time on those plans.

We may change, suspend, or remove features, and previews may be incomplete.

Planned or unplanned downtime does not earn credits under these Terms.

AI Output can be wrong, incomplete, or unavailable. Section 8 is the full disclaimer.

An SLA, dedicated support commitment, or implementation commitment exists only if a signed Advanced or Enterprise order says so in writing. A pricing-page description of Advanced or Enterprise is an invitation to that conversation, not an SLA.

Security controls are described in the Privacy Policy. Vysto has SOC 2 Type II readiness in progress. No attestation has been issued. Nothing in these Terms states or implies that Vysto is SOC 2 compliant.

4. Accounts, tenants, and visitors

These Terms govern the Customer’s relationship with Vysto. They do not make a Visitor a customer of Vysto.

The Customer is the operator of its site and the controller of Visitor personal data. Vysto processes Visitor personal data to provide the platform, as the Customer’s processor. The Privacy Policy states that split. The Customer will give Visitors a privacy notice that meets the law that applies to the Customer, and will not present Vysto’s Privacy Policy as if it were the notice for the Customer’s own collection.

The Customer is responsible for:

who it admits as an Authorized User, and what those people do in the workspace;

MCP credentials and API keys, including revoking them when someone leaves;

the lawfulness of Customer Content and of the Customer’s instructions to Vysto;

notices, consents, and terms the Customer must give its own Visitors, including a notice of voice processing where the site accepts speech;

configuring forms, commerce, and calls to action so they do what the Customer intends.

Vysto may refuse, suspend, or close an account to protect the platform, other customers, or Visitors, or where these Terms or the acceptable-use rules allow it.

The platform is a business service. The Customer will not use it to build a site directed at children under 13, and will not knowingly submit personal data of a child under 13, unless Vysto has agreed in a signed writing that covers that use.

5. Plans, trials, and fees

Every plan currently starts with the full platform free for 30 days. Paid plans and what happens when a trial ends, when a Customer cancels, and when free-tier content is deleted are in the Refund and Cancellation Policy, which is part of these Terms.

Fees are billed by Stripe in the amounts shown at checkout. Monthly fees renew each month until cancellation. Annual fees are paid up front for the year. Taxes are additional where required. The Customer keeps payment details current. If a charge fails, we may suspend the site after notice and a reasonable chance to update payment.

Unless a signed order says otherwise, an upgrade takes effect when purchased, and a downgrade takes effect at the next renewal. Content stays in Nuggets across a plan change.

6. Customer Content and the scraping module

The Customer keeps ownership of Customer Content. The Customer grants Vysto a non-exclusive license to host, reproduce, modify for formatting, display, transmit, and otherwise use Customer Content only to provide, secure, and support the platform, and to comply with law. This license ends when Customer Content is deleted from production systems, except for residual copies in ordinary backups until those backups expire, and except where we must keep a copy for a legal hold or a dispute.

The Customer represents and warrants that:

it owns Customer Content or has all rights needed to submit it, import it, and publish it through the platform;

Customer Content and the Customer’s use of the platform do not infringe, misappropriate, or violate any third party’s intellectual property, privacy, or other rights, and do not violate law;

it will not submit personal data or confidential information it has no right to process on the platform.

Scraping module. When the Customer runs the scraping module against a site or other source, the Customer further represents and warrants that:

the Customer owns that source, or has the owner’s permission, or is otherwise legally entitled to copy and reuse the fetched material for the site the Customer is building;

the import does not bypass access controls, paywalls, or technical restrictions the Customer is not allowed to bypass;

the Customer has cleared third-party content embedded in the source (including images, fonts, video, product data, and text owned by others) before publication;

Vysto has no obligation to check that the source is the Customer’s to import, and the Customer is solely responsible for that decision.

Vysto may refuse, pause, or reverse an import, and may take down published material, when we have reason to believe the representation is untrue or that a rights holder has objected. The indemnity in Section 16 covers claims that arise from Customer Content or from a scraping import.

The Customer may export Customer Content while the account is open and during the retention window in the Refund and Cancellation Policy. After that window, we delete it from production as that policy describes.

7. Intellectual property

Vysto and its licensors own the Platform IP. These Terms do not assign Platform IP to the Customer and do not grant a license under any Vysto patent except the right to use the hosted service during the subscription. The patent rights in the conversational platform remain with their owner and with Vysto as licensee. Nothing here is a covenant that conflicts with a license of those rights to Vysto LLC. If a conflict appears between these Terms and that license, Vysto will amend these Terms to remove it, and the license controls in the meantime as between the licensor and Vysto.

The Customer owns Customer Content, as Section 6 states. As between Vysto and the Customer, the Customer owns AI Output generated in the Customer’s workspace from Customer Content. The same or a similar output may be generated for someone else, and Vysto’s model providers impose their own terms on outputs. The Customer is responsible for reviewing AI Output before it is published or relied on.

The Customer grants Vysto a perpetual, irrevocable, royalty-free license to use suggestions, bug reports, and other feedback without obligation to the Customer. We will not publicly attribute feedback in a way that identifies the Customer unless the Customer agrees.

The Customer may not copy, frame, reverse engineer, or resell the platform except as law allows for interoperability, and may not use the platform to build a competing conversational-site engine. Ordinary use of published sites, Classic View, and MCP for the Customer’s own business is allowed.

Vysto’s names, logos, and product names are trademarks of Vysto. The Customer may say that its site is “powered by Vysto” while it is a customer, and will stop when the subscription ends. Vysto may name the Customer as a customer unless the Customer asks in writing not to be named.

8. AI output disclaimer

The platform uses third-party models and speech systems to converse, translate, suggest, and generate. AI Output is probabilistic.

AI Output may be inaccurate, misleading, out of date, biased, or unavailable. It is not legal, medical, financial, employment, or other professional advice, and it is not a statement of fact by Vysto.

The Customer will review material before publishing it or presenting it as the Customer’s own.

Visitors are interacting with the Customer’s site. The Customer decides what the experience is allowed to say, including guardrails, and is responsible for claims the experience makes about the Customer’s business, prices, products, and policies.

Vysto does not warrant that AI Output is correct, complete, non-infringing, or fit for a purpose.

Voice replies are generated speech, not a person at Vysto, and not the Customer’s employee unless the Customer has configured the experience to say otherwise and has the right to that voice.

Model providers process prompts and outputs under Section 7 of the Privacy Policy. The Customer will not submit secrets, payment card numbers, or special-category personal data into a conversation except where the Customer has a lawful basis and Vysto has agreed in writing to support that data type.

The rules in this Section 9 are the acceptable-use rules. They are incorporated into these Terms. Vysto may also publish them as a standalone Acceptable Use Policy at a stable URL. Once that policy is published, it is incorporated by reference, may be updated on the notice terms in Section 18, and controls over this Section 9 where it is more specific. Until that publication, this Section 9 is the entire acceptable-use policy.

The Customer will not, and will not allow Authorized Users or Visitors through its configuration to:

break the law, including intellectual-property, privacy, consumer-protection, export, and anti-spam law;

infringe copyright, trademark, or other rights, including by importing a site the Customer has no right to copy;

distribute malware, probe or scan the platform without our written permission, or interfere with other tenants;

attempt to access another tenant’s workspace, data, or credentials;

overload the service, evade plan limits, or share login or API keys outside the Customer’s organization;

use the platform to send unsolicited bulk messages;

generate or publish child sexual content, or to sexualize minors;

generate or publish content that incites imminent violence, or that is illegal fraud, including phishing and scam storefronts;

misrepresent AI Output as a named human professional’s advice;

use Visitor voice or conversation data to build a biometric identifier, or to identify a person covertly;

submit payment card data into Nuggets, prompts, or conversation fields. Card collection happens only through Stripe or another processor we approve;

use the scraping module against systems the Customer does not control and is not allowed to copy;

remove or hide notices to Visitors where these Terms or the Privacy Policy require the Customer to present them.

We may investigate, remove content, throttle, or suspend a workspace that we reasonably believe violates this Section. We will tell the Customer unless the notice would compromise an investigation, a person’s safety, or a legal duty.

Some experiences accept speech and reply with speech. Audio is processed to transcribe the utterance and, where the experience speaks, to synthesize a reply. Vysto does not create a voiceprint, does not enroll a person’s voice, and does not use audio to identify who is speaking. The drafted retention rule for raw audio is in the Privacy Policy. The Customer will not configure the platform to identify Visitors by voice, and will tell Visitors, before they speak, that the conversation uses speech processing.

11. Privacy, security, and the DPA

The Privacy Policy describes what Vysto collects, the controller and processor roles, voice processing, subprocessors, and retention. The Cookie & Tracking Notice describes cookies and the session identifier used to count visits.

For Visitor personal data, the Customer is the controller and Vysto is the processor. When Vysto publishes a standing Data Processing Agreement, that DPA is incorporated into these Terms by reference and applies to Visitor personal data and to any other personal data Vysto processes for the Customer. Until it is published, the Privacy Policy and this Section 11 are the processing terms:

Vysto processes that data only to provide, secure, and support the platform, and on the Customer’s documented instructions, which include these Terms and the Customer’s use of the product;

Vysto will not sell Visitor personal data and will not use it for Vysto’s own advertising;

Vysto will use subprocessors listed in the Privacy Policy, and will give the notice that policy describes before adding a material subprocessor;

each party will implement appropriate security, including encryption in transit, encryption at rest provided by the hosting environment, logical separation of tenant workspaces, access control, and logging of administrative access;

Vysto will notify the Customer without undue delay after confirming a personal-data breach affecting the Customer’s data, and will provide the information the Customer reasonably needs for its own notices;

on termination, Vysto deletes or returns personal data as the Refund and Cancellation Policy states.

A Customer that needs a signed DPA, a security questionnaire, or a custom processing term can request one. Custom terms apply only when Vysto signs them. Enterprise procurement support is part of the Enterprise plan, not of self-serve plans.

Each party may receive non-public information of the other. The receiving party will use it only to perform under these Terms, will protect it with reasonable care, and will disclose it only to people who need it and are bound to keep it confidential, or when law requires disclosure (in which case the receiving party gives notice if legally allowed). Customer Content is the Customer’s confidential information. Platform IP and unpublished pricing and security details are Vysto’s confidential information. Feedback that does not identify the Customer is not confidential.

13. Term, suspension, and termination

These Terms start when the Customer accepts them and continue until the account is closed.

The Customer may cancel as the Refund and Cancellation Policy describes. Vysto may suspend or terminate for a material breach that is not cured within 15 days after notice, immediately for a breach of acceptable use, non-payment, or a risk to the platform or to other people, or where the law requires it.

When the agreement ends, the Customer’s right to use the platform ends. What happens to the site and to Customer Content is in the Refund and Cancellation Policy. Sections that by their nature should survive do survive, including intellectual property, confidentiality, disclaimers, limits of liability, indemnity, and the governing-law section.

14. Copyright complaints (DMCA)

Vysto responds to notices of claimed copyright infringement that meet the Digital Millennium Copyright Act. Vysto will designate an agent with the U.S. Copyright Office. Until that registration is posted here with a name and address, send notices to the contact in Section 19 with the subject “DMCA notice.” A notice must identify the work, the material and its location on the platform, the complainant’s contact details, a good-faith statement, a statement under penalty of perjury that the complainant is authorized, and a physical or electronic signature.

If we remove material, we may tell the Customer and accept a counter-notice that the DMCA requires. Repeat infringement by a Customer can result in account closure. A notice that is incomplete or that is not about copyright may be rejected.

15. Disclaimers and limitation of liability

THE PLATFORM, AI OUTPUT, AND SUPPORT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” EXCEPT WHERE THE LAW DOES NOT ALLOW IT, VYSTO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE.

TO THE MAXIMUM EXTENT THE LAW ALLOWS, VYSTO’S TOTAL LIABILITY ARISING OUT OF THE PLATFORM OR THESE TERMS IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE FEES THE CUSTOMER PAID VYSTO FOR THE PLATFORM IN THAT PERIOD. IF THE CUSTOMER PAID NOTHING, THE LIMIT IS ONE HUNDRED U.S. DOLLARS.

VYSTO IS NOT LIABLE FOR LOST PROFITS, LOST REVENUE, LOST DATA, BUSINESS INTERRUPTION, OR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY.

These limits do not apply to liability that cannot be limited, to the Customer’s payment obligations, to the Customer’s indemnity, or to a party’s infringement or misappropriation of the other party’s intellectual property. They apply to free-trial use the same as to paid use.

The Customer will defend Vysto and its directors, employees, and agents against a third-party claim, and pay
